Before you send a factory your designs, your tech packs or your target prices, you are handing over the heart of your business. A non-disclosure agreement - NDA for short - is the written promise that what you share with Shadanatex Bangladesh stays with Shadanatex Bangladesh. This page explains, in plain words, what our NDA covers, how we handle your information day to day, and how to put an agreement in place before you send anything sensitive. It is an explanation of how we work, not the legal document itself: the signed agreement is the document that binds both sides.
What a Non-Disclosure Agreement Is
An NDA is a short contract between two parties who need to share private information to work together. It names what counts as confidential, says that the receiving side may use it only for the work it was shared for, and sets the period for which it must stay private. Buyers usually ask for one at the very start of a relationship with a new garment supplier - before the first tech pack, artwork file or price discussion changes hands.
What the Agreement Covers
For a clothing programme, the confidential material is wider than the design alone. Our NDA is written to cover everything a buyer shares with us while an order is developed, priced and produced:
- Your designs, artwork, prints and embroidery files
- Tech packs, measurement charts and construction details
- Patterns graded for your programme and samples sewn for you
- Quotations, target prices and the prices agreed for your orders
- Order quantities, delivery plans and the markets you sell into
- Your brand labels, hang tags and packaging designs
- Anything else you mark as confidential when you send it
It Protects Both Sides
Our agreement is mutual, because a working relationship shares private information in both directions. Your designs, prices and programme details stay yours, and our costing, production methods and supplier terms stay ours. Neither side may pass the other's information to a third party, use it outside the work it was shared for, or keep using it after the agreement's period ends.
- Your information is used only to develop, price and produce your orders
- Our information is shared with you only for your programme
- Both sides return or delete shared files when asked, as the agreement sets out
How We Handle Your Files Day to Day
A signature alone does not protect a design - habits do. This is how your material is treated inside our factory once it reaches us:
- Your files stay with the merchandising team handling your order
- Your approved sample is stored as the production standard for your order and is not shown to other buyers
- We never publish photographs of your designs, and we never name your brand, without your written permission
- Order details are shared on the factory floor only with the people producing that order
- Your labels and tags are produced for your orders only and are never used on anyone else's garments
How Long the Protection Lasts
The agreement states its own period, agreed by both sides before signing. In garment programmes it normally runs for the length of the working relationship and for a set period after the last order, so a design from an earlier season stays protected even after that season ships. When the period ends, the obligation ends with it - unless the agreement says otherwise in writing. If your company works to a standard period of its own, tell us and we will match the agreement to it where we can.
How to Put an NDA in Place With Us
Setting the agreement up takes days, not weeks, and it costs nothing. Most buyers follow the same simple path:
- Ask us for the NDA before you send designs, tech packs or prices
- Sign your own standard form, or ask for ours - we work with both
- Exchange signed copies so each side holds the full agreement
- If you have already shared files with us, the agreement can state in writing that it covers them too
Once the NDA is signed, you can send your programme details freely and the real work can start: sampling, pricing and production planning. If you would like the agreement in place before your first enquiry, contact Shadanatex Bangladesh and ask for the non-disclosure agreement - we will send it over and sign our side first.
Not ready to sign yet? You can still start the conversation with public information - the styles on this site, your quantities and your target market - and hold the designs and tech packs back until the agreement is in place. Many of our buyers do exactly that, and the sampling stage only begins once both sides are comfortable.
